Terms of Service
Effective date: October 28, 2026
Operator: TriKro LLC, doing business as Kromatic ("we," "us," "our," "Company")
These Terms of Service ("Terms") govern your access to and use of the Fermi service ("Service"), including its REST API, MCP server and web pages at fermi.kromatic.com, operated by TriKro LLC, doing business as Kromatic. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Service Description
Fermi is a REST and MCP API that accepts natural-language questions and returns calibrated probability distributions, including distribution parameters, coverage intervals, point estimates, reasoning summaries, and assumptions. The Service is designed for use by AI agents and human developers as a decision-support tool.
1.1 Eligibility
You must be at least 13 years old to use the Service, and if you are under the age of majority where you live, you may use it only with the permission of a parent or guardian. If you use the Service on behalf of an organization, you represent that you have authority to bind it to these Terms.
1.2 Use Through AI Assistants
You may use the Service through an AI assistant such as Claude, ChatGPT or Grok. The assistant decides when to call the Service and what to send, and its provider's own terms and privacy policy govern your use of the assistant. Requests an assistant or other agent makes on your behalf, including any acknowledgment it gives under section 5.3, are treated as made by you.
2. Account Terms
2.1 Account Creation
You may create an account by making a POST request to the accounts endpoint. Account creation through the API does not require an email address, password, or name. Upon creation, you will receive an account_id and an API key. Where offered, you may instead connect with a Kromatic account (sign-in at api.kromatic.com), which links a Fermi account to your Kromatic identity.
2.2 API Key Security
You are responsible for safeguarding your API key. Your API key is shown once at creation and is stored only in hashed form thereafter. We cannot recover a lost API key. You are responsible for all activity that occurs under your API key. You must notify us immediately at legal@kromatic.com if you believe your API key has been compromised.
2.3 Account Termination
We reserve the right to suspend or terminate your account at any time, with or without cause, with or without notice. You may request account deletion by contacting legal@kromatic.com with your account_id.
3. Credit System and Pricing
3.1 Credits
The Service uses a credit-based system. Each estimation request consumes credits based on its tier:
- Tier 1: 1 credit per estimate
- Tier 2: 3 credits per estimate
- Tier 3: 10 credits per estimate
3.2 Starter Credits
New accounts receive 3 starter credits at no charge. These credits are provided as-is with no guarantee of future availability or replenishment.
3.3 Anonymous Tier
Unauthenticated users may make 1 tier-1 estimate per UTC day at no cost. Anonymous callers are identified by a hash of their IP address and user-agent string (see the Privacy Policy). This allowance may change at any time without notice.
3.4 Credit Expiration and Refunds
Credits do not expire under current policy, but we reserve the right to introduce expiration with reasonable notice. Credits consumed by completed requests are non-refundable. Credits are charged only when an estimate completes; if an asynchronous request fails after credits were reserved, they are restored automatically. Unused purchased credits are refundable within 14 days of purchase: email innovate@kromatic.com with your account_id to request a refund, which we handle manually. Starter credits have no cash value and are not refundable. Credits are non-transferable.
3.5 Pricing Changes
We reserve the right to modify credit costs, pricing, and the credit system at any time. Material changes will be communicated through the API documentation or this page.
3.6 Purchases
Credit purchases are processed by Stripe. The price is shown before you pay. When you buy credits through checkout, your card is saved with Stripe so that later purchases you request (for example through the buy_credits tool) can be charged to it without re-entering card details. You authorize those charges when you or an agent acting for you requests them. You are responsible for any applicable taxes.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation
- Attempt to circumvent rate limits, authentication mechanisms, or credit controls
- Use multiple accounts to evade rate limits or abuse the free tier
- Reverse engineer, decompile, or attempt to extract the source code or algorithms of the Service
- Transmit malicious content, exploit payloads, or attempt to compromise the Service's infrastructure
- Resell or redistribute the Service without our prior written consent
- Use the Service in a manner that could damage, disable, or impair it, or interfere with any other party's use
- Use the Service to generate content that violates the acceptable use policies of our upstream AI model providers (Anthropic, OpenAI)
- Submit personal data about other people, or sensitive personal data (such as health, financial-account or government-identifier data), in questions, context or source material
We reserve the right to suspend or terminate access for any user who violates these terms.
5. API Output Disclaimer
5.1 Not Professional Advice
The Service does not provide financial, investment, medical, legal, or any other form of professional advice. Estimates should not be used as the sole basis for any decision with material consequences. You should consult qualified professionals for decisions in these domains.
5.2 No Guarantee of Accuracy
We make no warranty or representation regarding the accuracy, reliability, completeness, or timeliness of any estimate. Probability distributions are model-generated approximations. Actual outcomes may differ materially from estimates provided.
5.3 Disclaimer Acknowledgment
Each estimation request, through the REST API or the MCP estimate tool, requires "disclaimer_acknowledged": true; requests without it are rejected. By setting this flag, you (or an agent acting on your behalf) acknowledge the limitations described in this section.
6. Intellectual Property
The Service, including its API design, documentation, and underlying algorithms, is the property of TriKro LLC, doing business as Kromatic. You retain ownership of the questions you submit and any data you create using the Service. We claim no ownership over your input questions or the specific estimates returned to you. You grant us a limited license to store and process your inputs and outputs to provide, secure and improve the Service, including sending them to the service providers described in the Privacy Policy.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
- IN NO EVENT SHALL TriKro LLC, doing business as Kromatic, OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

- ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE;
- ANY ESTIMATE OR OUTPUT OBTAINED FROM THE SERVICE;
- UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR DATA.
- OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
8. Indemnification
You agree to indemnify, defend, and hold harmless TriKro LLC, doing business as Kromatic, and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
- Your use of the Service
- Your violation of these Terms
- Your violation of any rights of another party
- Any decisions made or actions taken based on estimates obtained from the Service
9. Service Availability
We do not guarantee that the Service will be available at all times. The Service may be subject to interruptions, including for maintenance, upgrades, or circumstances beyond our control. We are not liable for any downtime or service interruptions.
10. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Service shall be resolved in the state or federal courts located in California, and you consent to the personal jurisdiction of such courts.
11. Changes to These Terms
We reserve the right to modify these Terms at any time. When we make changes, we will update the "Effective date" at the top of this page. Your continued use of the Service after any changes constitutes acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Service.
12. Severability
If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
13. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and TriKro LLC, doing business as Kromatic, regarding the Service and supersede all prior agreements and understandings.
